Welcome to Z Security Management Inc. DBA Ample Service hereinafter "Ample Service" ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Customer," "Vendor," "you," or "your") and Ample Service governing your access to and use of our website located at www.ampleservice.com (the "Website") and all services, features, content, applications, and products offered by us through the Website (collectively, the "Services").

The Services include, but are not limited to, an online platform that connects Customers with independent Vendors in various professional fields, such as:

• Catering
• Security alarm companies
• Graphic designers
• Web designers
• Property maintenance companies
• Real estate agents
• Event management
• Banquet halls
• Security guard services
• Landscaping

By accessing or using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Website and Services.

These Terms, together with our Privacy Policy, form the entire agreement between you and Ample Service.

1. Description of Services

Ample Service operates as an intermediary platform that facilitates connections between Customers seeking professional services and independent Vendors who provide those services. We do not directly provide the services listed on the Website; instead, we enable introductions, lead generation, advertising, and communication between Customers and Vendors.

Vendors are independent contractors and are not employees, agents, joint venturers, or partners of Ample Service. We do not control, supervise, or endorse the Vendors or their services.

The Services are provided "as is" and "as available," without any warranties of any kind, express or implied.

2. User Eligibility and Account Registration

2.1. Age and Capacity Requirement: You must be at least 18 years old and possess the legal authority and capacity to enter into binding contracts in your jurisdiction to use the Website or Services. By using the Website or Services, you represent and warrant that you meet these requirements and agree to provide accurate, current, and complete information when submitting inquiries, creating accounts, or interacting with the Website.

2.2. Account Creation: To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

2.3. Vendor-Specific Requirements: If you are a Vendor, you must provide verifiable business information, including licenses, permits, insurance details, and any other required documentation. You represent that you are authorized to offer the services you list and comply with all applicable laws.

2.4. Suspension or Termination: We reserve the right to suspend or terminate your account or access to the Services at any time, without notice, for any reason, including but not limited to violations of these Terms or conduct deemed harmful to us or other Users.

3. Independent Contractor Relationship

All Vendors listed or promoted on the Website are independent contractors and not employees, partners, joint venturers, agents, or representatives of Ample Service. The Company does not control or supervise Vendors, does not direct the manner in which services are performed, and does not guarantee the quality, legality, licensing, insurance coverage, or performance of any Vendor.

Any agreement for services is entered into solely between the Customer and the Vendor. Ample Service is not a party to any service contract and assumes no responsibility or liability arising from such agreements.

4. Customer Responsibilities

4.1. Evaluation and Verification: Customers are solely responsible for evaluating and selecting Vendors, including independently verifying credentials, licensing status, certifications, insurance coverage, pricing, and qualifications prior to engaging any services. Ample Service does not conduct background checks unless expressly stated and does not guarantee Vendor reliability or suitability.

4.2. Accurate Information: Customers must provide accurate and complete information when submitting service requests or inquiries.

4.3. Direct Communication and Agreements: Customers communicate and contract directly with Vendors for quotes, agreements, scheduling, and payments. Ample Service does not facilitate or process these transactions unless explicitly stated.

4.4. Disputes: Any disputes, claims, damages, or losses arising from services provided by a Vendor must be resolved directly between the Customer and the Vendor. Ample Service is not responsible for mediating or resolving disputes.

4.5. Lawful Use: Customers agree to use the Website and Services for lawful purposes only and not to solicit or engage in any illegal activities.

5. Vendor Responsibilities

5.1. Independence and Compliance: Vendors represent and warrant that they are properly licensed, insured, and qualified to provide their advertised services in compliance with all applicable federal, state, and local laws, regulations, and industry standards. Vendors are solely responsible for their own business operations, including taxes, permits, regulatory compliance, and professional standards.

5.2. Service Quality and Fulfillment: Vendors are responsible for the accuracy of their listings, the quality, timeliness, and performance of their services, and fulfillment of contractual obligations to Customers.

5.3. Accurate Information: Vendors must provide accurate and up-to-date information about their services, availability, pricing, and qualifications. Misrepresentation may result in account termination.

5.4. Direct Agreements: Vendors communicate and contract directly with Customers. Ample Service is not a party to any agreements between Vendors and Customers.

5.5. Indemnification: Vendors agree to indemnify Ample Service for any claims arising from their services, as detailed in Section 10.

6. Fees, Payments, and Lead Services

6.1. Vendor Fees: We may charge Vendors fees for lead generation, advertising placements, membership subscriptions, promotional services, or related marketing services. Fees are outlined in separate agreements or on the Website.

6.2. Payment Terms: All payments to Ample Service are non-refundable unless otherwise specified in writing. We use third-party payment processors; you agree to their terms when making payments.

6.3. No Service Payments: Unless explicitly stated, Ample Service does not process payments for services between Customers and Vendors. Such payments are handled directly between the parties.

6.4. No Guarantees: Ample Service does not guarantee the number of leads, customer inquiries, conversions, revenue, or business outcomes resulting from use of the Website.

6.5. Taxes: You are responsible for all applicable taxes related to your use of the Services.

7. Prohibited Conduct

You agree not to misuse the Website. Prohibited conduct includes, but is not limited to:

• 7.1. Providing false, misleading, or fraudulent information.
• 7.2. Impersonating another person or entity.
• 7.3. Attempting to gain unauthorized access to systems or data, hacking, or disrupting the Website or related systems.
• 7.4. Interfering with Website functionality, security, or other Users' enjoyment.
• 7.5. Transmitting viruses, malware, malicious code, or harmful content.
• 7.6. Scraping, harvesting data, or copying/reproducing Website content without permission.
• 7.7. Posting unlawful, defamatory, infringing, or harassing content.
• 7.8. Engaging in fraudulent, illegal, or spam-related activities.

We may monitor usage and take action against violations, including suspension, termination, or legal remedies.

8. Intellectual Property Rights

11. Communications Consent and Electronic Communications

By submitting contact information through the Website, you consent to receive communications from Ample Service and, where applicable, from Vendors, including emails, phone calls, text messages, and other electronic communications. Such communications may include service-related information, promotional materials, updates, or responses to inquiries.

You may opt out of marketing communications at any time by following the unsubscribe instructions or contacting us, in accordance with applicable laws such as the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

Electronic communications satisfy any legal requirement that such communications be in writing.

Ample Service makes no guarantees regarding the number or quality of leads, Vendor availability, Customer satisfaction, service outcomes, or the accuracy of information provided by Users. You acknowledge that using the Services involves risks, including interactions with third parties, and you assume all such risks.

14. Limitation of Liability

To the maximum extent permitted by law, Ample Service and its officers, directors, employees, affiliates, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Website or Services.

In no event shall Ample Services total cumulative liability exceed the amount paid by you to Ample Service in the twelve (12) months preceding the claim, or $100, whichever is greater. Some jurisdictions do not allow certain limitations, so these may not apply to you.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or Services shall be resolved through binding arbitration conducted in Sacramento County, California, in accordance with the rules of the American Arbitration Association (AAA).

By agreeing to these Terms, you waive your right to a jury trial and your right to participate in a class action. If arbitration is not enforceable, disputes shall be resolved in the state or federal courts in Sacramento County, California.
